Terms of Use

PBW Professional Services L.L.C. is an Illinois limited liability company. PBW is currently in good standing in the State of Illinois.

PBW may market and provide services to clients located in Illinois and in other jurisdictions (including the New York/New Jersey/Connecticut tri-state area). Nothing on this Site constitutes a representation that PBW is registered, licensed, or otherwise authorized to do business in every jurisdiction. If a registration, filing, or licensing obligation applies to a specific engagement due to the nature or location of services, PBW and the client will address such requirements in writing as part of the engagement documentation.

The Site may include general information, commentary, templates, checklists, calculators, and other materials related to financial technology, operating models, investment operations, trading infrastructure, compliance workflows, and related topics ("Content").

The Content is provided for general informational purposes only and does not constitute legal, tax, regulatory, accounting, investment, or other professional advice. You should consult qualified professionals regarding your specific circumstances. PBW does not act as your fiduciary through your use of the Site.

PBW's consulting and professional services are provided only under a separate written agreement (e.g., a Master Services Agreement, Consulting Agreement, and/or Statement of Work) executed by PBW and the client (an "Engagement Agreement"). In the event of any conflict between these Terms and an Engagement Agreement, the Engagement Agreement will control for that engagement.

You agree you will not:

• Use the Site in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Site, systems, networks, or accounts;
• Interfere with or disrupt the Site, including by introducing malware or conducting denial-of-service activity;
• Copy, scrape, harvest, or reverse engineer the Site except as permitted by law;
• Use the Site to transmit confidential or sensitive personal data unless PBW expressly instructs you to do so through a secure channel.

We may suspend or terminate access to the Site at any time if we believe you have violated these Terms.

The Site and all Content are owned by PBW or its licensors and are protected by intellectual property laws. PBW grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business purposes. Except as expressly permitted, you may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Site or Content without PBW's prior written consent.

PBW®, PBW Professional Services™, and related logos/marks are trademarks of PBW. Use of PBW trademarks without permission is prohibited.

If you submit information to PBW through the Site (including via contact forms), you represent you have the right to provide it and that it does not violate any third-party rights or laws. Do not submit confidential client data, MNPI, or regulated personal information through the Site unless PBW has expressly provided a secure method and you are authorized to do so.

The Site may reference or link to third-party websites, software, or services. PBW does not control third parties and is not responsible for their content, security, availability, or practices. Your use of third-party services is at your own risk and subject to the third party's terms.

THE SITE AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PBW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PBW DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE COMPLETE, ACCURATE, OR CURRENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PBW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PBW'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED US $100.

Some jurisdictions do not allow certain limitations of liability, so portions of the above may not apply to you.

You agree to defend, indemnify, and hold harmless PBW and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, judgments, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.

Your use of the Site is also governed by our Privacy Notice and Cookie Notice, which are incorporated by reference. Please review them for information about how PBW collects, uses, and discloses data.

If PBW provides tools or intake forms that request data, PBW may require use of a secure submission workflow. PBW may decline to accept data submitted through insecure channels.

You may not use the Site if you are located in, under the control of, or a national or resident of any country subject to U.S. sanctions or embargoes, or if you are on any U.S. government restricted parties list. You agree to comply with applicable export control and sanctions laws.

We may modify or discontinue the Site (in whole or in part) at any time without notice. We may update these Terms from time to time by posting the revised version on the Site and updating the "Last Updated" date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

These Terms and any dispute arising out of or relating to the Site or these Terms will be governed by the laws of the State of Illinois, without regard to conflict of laws principles.

Any legal action or proceeding arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is held unlawful, void, or unenforceable, the remaining provisions will remain in full force and effect.
